Terms of Service
Monic AI Systems provides AI consulting and related services. By engaging us or using our site, you agree to these terms.
Service Scope and Order Processing Terms
Work is defined in a proposal/SOW (deliverables, timeline, fees). Conflicts: SOW controls.
Client Responsibilities and Obligations
Provide timely access to people, systems, and data; ensure you have rights to the content you supply; follow applicable laws.
Fees, Payment Terms, and Billing Policies
As stated in the SOW (project, retainer, or hourly). Invoices due net 15 (unless otherwise stated). Late amounts may accrue interest.
Intellectual Property and Licensing Terms
Your data/content remains yours. You grant us a limited license to use it to perform the services.
Deliverables: upon full payment, you receive a non-exclusive, perpetual license (or ownership if specified in the SOW).
We retain pre-existing tools, templates, and know-how used to deliver the work.
Confidentiality and Data Protection
Each party will protect the other's confidential information and use it only for the project.
Third-Party Services and AI Integration
We may use subprocessors (cloud, analytics, AI APIs) to deliver features. Their terms apply to their components. We don't use your content to train models without written consent.
Service Guarantees and Performance Expectations
We provide best-effort, professional services but don't guarantee specific rankings, traffic, or revenue.
Service Warranties and Legal Disclaimers
Services are provided "as is." We disclaim implied warranties to the extent permitted by law.
Limitation of Liability and Damages
To the maximum extent allowed, liability is capped at fees paid to us in the 12 months before the claim; no indirect or consequential damages.
Indemnification and Legal Protection
You indemnify us for claims arising from content or instructions you provide; we indemnify you for our infringement of third-party IP in the deliverables (excluding your content/requirements).
Contract Term and Termination Conditions
Either party may terminate for material breach (after notice and cure) or for convenience as specified in the SOW. You pay for work performed and committed costs.
Publicity and Marketing Rights
We may list your name/logo as a client with general descriptions, unless you opt out in writing.
Governing Law and Dispute Resolution
Laws of District of Columbia (USA) (adjust state if you prefer). Good-faith negotiation first; optional confidential arbitration.
Changes to Terms and Conditions
We may update site terms; project terms are set by the SOW unless amended in writing.
SMS and Phone Communications
By providing your phone number and engaging our services, you expressly consent to receive:
- • Appointment confirmations and reminders via SMS and voice calls
- • Notifications and updates related to services you have requested
- • Support messages or urgent service communications
You understand and agree that:
- • Message and data rates may apply depending on your carrier plan
- • Message frequency will vary based on your booked services
- • Communications may be delivered using automated systems or prerecorded messages
- • We use trusted third-party providers (including Twilio) to deliver SMS and voice services
- • Consent is not a condition of purchase or use of services
- • You may opt out at any time by replying STOP to an SMS or by contacting us directly
- • You may request assistance by replying HELP to an SMS
This consent complies with the Telephone Consumer Protection Act (TCPA), FCC regulations, and the upcoming 2025 one-to-one consent requirements.
Carrier Liability: Delivery of SMS messages is subject to effective transmission from your wireless carrier. Carriers are not liable for delayed or undelivered messages.
